These Content Creator Terms of Service (the “Terms”) constitute a legally binding agreement made between you and Accesse LLC (“Accesse,” “we,” or “us”), concerning your access to and use of the Marketplace (as defined below), including your purchase of any Products (as defined below) therethrough, and your generation and provision of any Creator Content (as defined below). Your access to and use of the Marketplace is offered subject to your acceptance of all terms and conditions set forth herein.

PLEASE READ THESE TERMS CAREFULLY. BY CLICKING “I ACCEPT” OR BY ACCESSING OR USING THE MARKETPLACE IN ANY MANNER, YOU: (A) ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS AND BY SUCH OTHER TERMS, CONDITIONS, POLICIES, AND DOCUMENTS THAT MAY BE INCORPORATED HEREIN BY REFERENCE, INCLUDING, WITHOUT LIMITATION, THE ACCESSE PRIVACY POLICY; (B) AFFIRM THAT YOU ARE AT LEAST 18 YEARS OF AGE (OR HAVE REACHED THE AGE OF MAJORITY IN THE JURISDICTION WHERE YOU RESIDE); AND (C) IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF A COMPANY OR OTHER ORGANIZATION, REPRESENT AND WARRANT THAT YOU HAVE THE ORGANIZATIONAL AND LEGAL AUTHORITY TO ACCEPT THESE TERMS ON SUCH COMPANY’S OR OTHER ORGANIZATION’S BEHALF AND TO BIND SUCH COMPANY OR ORGANIZATION. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE MARKETPLACE IN ANY MANNER.

THESE TERMS MAY REQUIRE THE USE OF BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES RATHER THAN JURY TRIALS OR CLASS ACTIONS, IN ACCORDANCE WITH THE TERMS OF SECTION 25 (DISPUTE RESOLUTION) BELOW.

ACCESSE MAY REFUSE ACCESS TO OR USE OF THE MARKETPLACE, OR ANY PORTION OR FUNCTIONALITY THEREOF, FOR YOUR NONCOMPLIANCE WITH ANY PART OF THESE TERMS. THESE TERMS ARE VOID WHERE PROHIBITED BY LAW, AND ANY RIGHTS TO ACCESS OR USE THE MARKETPLACE ARE REVOKED IN SUCH JURISDICTIONS.

  1. APPLICABILITY. As used herein, “you” means the natural person or entity that has agreed to be bound by these Terms in your capacity as an individual influencer and/or content creator (a “Content Creator”).
  2. THE MARKETPLACE. Accesse operates an online marketplace through its website with a homepage at accesse.co, including such subdomains and other websites or mobile or desktop applications as Accesse may designate from time to time (the “Site”), and all features, content, tools, applications, application program interfaces, widgets and other tools and services included on the Site (collectively, the “Marketplace”). The Marketplace connects manufacturers, retailers, distributors, merchants, or other providers of Products (“Brands”) with Content Creators, facilitating the sale of discounted Products by Brands to Content Creators in exchange for promotional content created by such Content Creators.
  3. CHANGES TO THE TERMS. Accesse reserves the right to modify or change these Terms, in whole or in part, at any time and in its sole discretion. Without limiting the generality of the foregoing, Accesse reserves the right to begin to charge fees for use of the Marketplace, even where the Marketplace was previously made available free of charge, whether with respect to the Marketplace, generally, or with respect to certain premium features or functionality thereof. Any modifications or changes to these Terms will be effective immediately upon posting to the Site, unless otherwise specified in the updated Terms. Your continued access to and use of the Site or the Marketplace confirms your acceptance of these Terms and any changes or modifications made to these Terms. You should review these Terms and the Privacy Policy frequently and ensure you understand all the terms, conditions, and policies applicable to your access to and use of the Site, the Marketplace, and any Creator Content made available by you hereunder.
  4. ACCESS TO THE MARKETPLACE. Subject to your compliance with these Terms, Accesse hereby grants to you a personal, revocable, limited, non-transferable, non-exclusive right to access and use the Marketplace in the manner more specifically described herein. Accesse may suspend or terminate your access to the Marketplace or any component thereof at any time and for any reason, including if Accesse determines you have violated these Terms. We may modify, discontinue, or replace the Site, the Marketplace, or any portion of the foregoing from time to time in our sole discretion and without prior notice to you.
  5. USER ACCOUNTS. In order to access and use the Marketplace, you may be required to establish an Accesse profile or user account (a “User Account”). You must provide true, accurate, current, and complete information as prompted by the applicable registration form, and you are responsible for keeping such information up to date. Accesse reserves the right to review all information provided during the registration process and with respect to your User Account, and may suspend or terminate your User Account if Accesse determines, in its sole discretion, that you have breached these Terms or otherwise do not qualify for participation in the Marketplace. You are responsible and liable for all activities conducted through your User Account, regardless of who conducts those activities. You are responsible for maintaining the confidentiality of any user IDs, passwords and other credentials associated with your User Account, and shall immediately notify Accesse of any actual or suspected unauthorized access to or use of your User Account or any associated user IDs, passwords, or other credentials. You will cooperate fully with Accesse and take all actions that Accesse reasonably deems necessary to maintain or enhance the security of the Marketplace, the Site, or Accesse’s computing systems and networks. Accesse is not and shall not be deemed liable for any loss or damage to you arising from your failure to comply with this Section 5.
  6. MARKETPLACE TRANSACTIONS.
    1. Product Listings and Orders. The Marketplace provides a platform through which Brands may offer for sale tangible goods through the Marketplace (each, a “Product”), and Content Creators may purchase such Products. Product descriptions, specifications, images, pricing, availability, and other Product information are provided by the applicable Brand, and Accesse does not verify or endorse such information. Prices, Marketplace discounts, Product availability, and Product listings are subject to change at any time prior to acceptance of your order. Your submission of an order constitutes an offer to purchase the applicable Product. The applicable Brand reserves the right to accept, reject, cancel, or limit any order prior to shipment, including due to inventory shortages, pricing or listing errors, suspected fraud, or other legitimate business reasons.
    2. Marketplace Transactions. Each purchase and sale of a Product through the Marketplace constitutes a transaction solely between the applicable Brand and the applicable Content Creator. Accesse is not a party to any such transaction. Accesse does not manufacture, own, warehouse, inspect, endorse, guarantee, sell, or resell any Product and is not responsible for any Brand’s performance of its obligations or the quality, safety, legality, accuracy, availability, or delivery of any Product or Product listing. You acknowledge and agree that you purchase Products through the Marketplace at your own risk and that Accesse shall have no liability arising out of or relating to any Product, any Marketplace transaction, or any act or omission of any Brand. YOU ACKNOWLEDGE AND AGREE THAT ACCESSE SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, CLAIM, LIABILITY, COST, OR EXPENSE ARISING OUT OF OR RELATING TO ANY PRODUCT OFFERED, SOLD, OR PURCHASED THROUGH THE MARKETPLACE OR ANY TRANSACTION FACILITATED THROUGH THE MARKETPLACE. You hereby release Accesse and its affiliates, and their respective officers, directors, employees, agents, successors, and assigns from any and all claims arising out of or relating to any Marketplace transaction or any Product offered or sold through the Marketplace, except to the extent resulting from Accesse’s gross negligence, willful misconduct, or fraud. If you are a California resident, please refer to Section 26(b) regarding your waiver of California Civil Code Section 1542.
    3. Payment Processing. Purchases of Products through the Marketplace will be completed through Shopify’s hosted checkout or such other checkout or payment processing solution as Accesse may designate from time to time (each, a “Payment Processor”). By submitting an order through the Marketplace, you authorize Accesse and the applicable Payment Processor to charge your selected payment method for all amounts due in connection with your purchase, including applicable taxes and shipping charges. Payment by you through the Marketplace shall be deemed payment to the applicable Brand. Except in its capacity as the Brand’s limited payment collection agent, Accesse is not a party to any transaction between you and any Brand and assumes no liability arising out of any such transaction.
    4. Order Fulfillment. Each Brand is solely responsible for processing, packaging, shipping, and fulfilling Products purchased through the Marketplace. Products are required to be shipped in accordance with the applicable Brand’s shipping times and policies, which will be posted to the Brand’s Marketplace product page. Accesse is not responsible for, and shall have no liability with respect to, the fulfillment, shipment, delivery, loss, delay, damage, or non-delivery of any Product or any failure by a Brand to fulfill an order.
    5. Returns and Exchanges. Each Brand is solely responsible for establishing and administering its own return, refund, and exchange policies (the “Brand Return Policy”). The applicable Brand Return Policy will be made available in connection with the applicable Product listing or otherwise through the Marketplace. Any request to return or exchange a Product shall be governed exclusively by the applicable Brand Return Policy and must be handled directly with the applicable Brand in accordance with its standard procedures. You should inspect each Product promptly upon delivery and notify the applicable Brand of any damage, shortage, or incorrect shipment in accordance with the Brand’s Return Policy. Accesse is not a party to, and shall have no responsibility or liability for, any return, refund, exchange, warranty claim, or other post-purchase dispute relating to any Product.
    6. Legal and Tax Obligations. You are solely responsible for determining and satisfying any legal, regulatory, tax, accounting, or reporting obligations arising from your use of the Marketplace, including with respect to any compensation or other amounts you receive in connection with Creator Content or any affiliate marketing program. You are also responsible for all applicable taxes, shipping charges, and other amounts associated with your purchase of Products. Neither these Terms, any communications between you and Accesse or any Brand, nor any information made available through the Marketplace constitutes legal, tax, accounting, or other professional advice. You should consult your own legal, tax, accounting, and other professional advisors regarding your use of the Marketplace.
  7. CREATOR CONTENT
    1. Provision of Creator Content. In consideration of your access to and use of the Marketplace and the opportunity to purchase Products at discounted prices through the Marketplace, you agree to create and submit at least one (1) item of original promotional content with respect to each Product purchased through and received from the Marketplace, including photographs, videos, social media posts, reviews, testimonials, or other marketing or promotional materials relating to the applicable Product (collectively, “Creator Content”). Where you have returned a Product to the Brand in accordance with applicable Brand Return Policy, you are not required to create or submit Creator Content with respect to such returned Product.
    2. Content Submission and Review. Your obligation to create and submit Creator Content begins upon delivery of the applicable Product, as confirmed by the applicable carrier’s delivery records. Unless otherwise specified by Accesse or the applicable Brand, you must submit the required Creator Content through the Marketplace within fourteen (14) days following delivery and in accordance with any applicable content brief and technical requirements communicated through the Marketplace. Following submission, the applicable Brand will have the opportunity to review the Creator Content and may approve or disapprove it based on its compliance with these Terms, the applicable content brief, and other requirements communicated through the Marketplace. If your Creator Content is approved, your content obligation with respect to the applicable Product will be deemed satisfied. If your Creator Content is disapproved, Accesse may notify you of the reason for the disapproval, but neither Accesse nor the applicable Brand shall have any obligation to request or permit revisions or to accept any Creator Content.
    3. Creator Content Standards. All Creator Content must: (i) reflect your honest opinions, beliefs, and experiences with the applicable Product; (ii) be original and created solely by you; (iii) accurately depict the applicable Product and include only factual statements regarding the applicable Brand or Product that you know or reasonably believe to be true; (iv) comply with all applicable laws, rules, regulations, and the policies and terms of the applicable social media platform; (v) not infringe or misappropriate the intellectual property, privacy, publicity, or other rights of any third party; (vi) not include any third-party music, photographs, artwork, trademarks, logos, or other content for which you do not have all necessary rights and permissions; (vii) not include any person or personally identifiable information of any person other than yourself unless you have obtained all rights, licenses, permissions, releases, and consents necessary to authorize the inclusion and use of such person’s name, image, likeness, voice, and other identifiable attributes as contemplated by these Terms and otherwise through the Marketplace; (viii) not contain any false, misleading, deceptive, defamatory, obscene, offensive, discriminatory, or unlawful content or otherwise promote illegal or unsafe activities; (ix) not disclose any confidential or non-public information of Accesse or any Brand; (x) not include artificially generated followers, engagement, comments, likes, or other fraudulent or deceptive social media activity; and (xi) comply with any additional content guidelines reasonably communicated by Accesse or the applicable Brand from time to time. You represent and warrant that all Creator Content submitted by you complies with the foregoing requirements.
    4. Endorsement and Disclosure Requirements. You are solely responsible for ensuring that all Creator Content complies with all applicable advertising, endorsement, consumer protection, and disclosure laws, rules, and regulations, including the Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (the “FTC Endorsement Guides”) available at https://www.ecfr.gov/current/title-16/chapter-I/subchapter-B/part-255. Without limiting the foregoing, you must clearly and conspicuously disclose your material connection with the applicable Brand in each item of Creator Content in accordance with the FTC Endorsement Guides and applicable law, including by using #ad, #sponsored, or another legally sufficient disclosure where appropriate. You further agree to review and comply with the FTC’s guidance for social media influencers, including the following resources, each as may be updated from time to time:

      You are solely responsible for ensuring that your Creator Content complies with the FTC Endorsement Guides and all other applicable laws, rules, regulations, and platform requirements. Accesse shall have no responsibility or liability whatsoever arising out of or relating to your failure to comply with any such requirements.
    5. Compliance and Account Status. Timely submission of Creator Content is a material condition of your continued participation in the Marketplace. If you fail to submit required Creator Content within fourteen (14) days following delivery of a Product, your User Account may be placed on probation, during which time your ability to purchase additional Products through the Marketplace may be suspended or otherwise limited. If you submit the required Creator Content within thirty (30) days following the commencement of such probation, Accesse may, in its discretion, restore your Marketplace privileges. If you fail to submit the required Creator Content before the expiration of such thirty (30)-day probation period, Accesse may permanently suspend or terminate your User Account and your access to the Marketplace. In addition, if you repeatedly submit Creator Content that fails to comply with these Terms or the applicable content requirements, Accesse may place your account on probation, suspend your Marketplace privileges, or terminate your User Account. Without limiting the foregoing, Accesse may permanently suspend or terminate your User Account if three (3) separate submissions of Creator Content are disapproved for failure to comply with these Terms or applicable content requirements.
    6. Monitoring and Enforcement. You acknowledge and agree that Accesse may monitor Creator Content and your use of the Marketplace for compliance with these Terms. If Accesse determines, in its reasonable discretion, that any Creator Content or other conduct does not comply with these Terms or applicable Marketplace requirements, Accesse may take any action it deems appropriate, including: (a) removing or disabling access to the applicable Creator Content; (b) rejecting the applicable Creator Content; (c) placing your User Account on probation or temporarily suspending your ability to purchase Products through the Marketplace; (d) permanently suspending or terminating your User Account and access to the Marketplace; or (e) exercising any other rights or remedies available under these Terms or applicable law. Accesse shall have no obligation to permit you to revise or resubmit any Creator Content or to provide prior notice before taking any of the foregoing actions.
    7. Promotions and Marketplace Credits. Accesse may, in its sole discretion, offer Content Creators promotions, Marketplace credits, preferred status, enhanced Marketplace visibility, or other incentives or benefits based on such criteria as Accesse may establish from time to time, including the timely submission or quality of Creator Content, Marketplace activity, or other participation metrics. Any such promotions, benefits, or Marketplace credits are discretionary, may be modified, suspended, or discontinued at any time, and may be subject to additional terms and conditions established by Accesse. Unless expressly stated otherwise by Accesse, Marketplace credits have no cash value, are non-transferable, may not be redeemed or exchanged for cash, and may be used only toward eligible purchases made through the Marketplace.
    8. Affiliate Marketing Programs. Nothing in these Terms prohibits you from participating in any affiliate marketing or similar commission-based program offered by a Brand or through a third-party affiliate network. If you elect to participate in any such program, your participation and any commissions or other compensation payable in connection with purchases generated through your Creator Content shall be governed solely by the applicable affiliate program terms. Accesse is not a party to, and does not administer, sponsor, or facilitate, any affiliate marketing program and shall have no responsibility or liability with respect to any affiliate relationship, including any enrollment, tracking, reporting, payment, or disputes relating thereto.
  8. LICENSING OF CREATOR CONTENT
    1. License to Brand. By submitting any Creator Content through the Marketplace, you represent and warrant that you have all rights, licenses, permissions, and authority necessary to grant the rights set forth in this Section 8. You hereby grant to the applicable Brand a non-exclusive, worldwide, fully paid-up, royalty-free license to use, reproduce, display, distribute, publish, and otherwise exploit such Creator Content solely to the extent permitted under the applicable agreement governing the Brand’s use of the Marketplace and the Brand’s applicable subscription plan. You acknowledge and agree that the scope and duration of the Brand’s rights to use Creator Content may vary based on the Brand’s subscription plan. Accesse will communicate the applicable usage rights and restrictions to each Brand; however, Accesse does not monitor or control a Brand’s use of Creator Content and shall have no responsibility or liability for any use of Creator Content by a Brand that exceeds the scope of the rights granted to such Brand. Any claim arising out of or relating to a Brand’s use of Creator Content shall be solely between you and the applicable Brand.
    2. License to Accesse. By submitting any Creator Content through the Marketplace, you hereby grant to Accesse and its affiliates a perpetual, irrevocable, worldwide, non-exclusive, fully paid-up, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, crop, resize, reformat, compress, translate, add branding or watermarks to, create derivative works from, distribute, publish, display, perform, transmit, and otherwise use and exploit such Creator Content, together with your name, image, likeness, voice, social media handle, and other identifying information included therein or provided in connection therewith, in any media or format now known or hereafter developed, for the purpose of operating, maintaining, improving, marketing, promoting, and providing the Marketplace and Accesse’s business, and for any other lawful business purpose. To the fullest extent permitted by applicable law, you hereby waive, and agree not to assert against Accesse or its sublicensees, any moral rights, droit moral, or similar rights that you may have in or to the Creator Content. The licenses granted under this Section shall survive any expiration or termination of these Terms.
  9. CONTENT CREATOR CONDUCT. You agree that, in connection with your use of the Marketplace, your creation and publication of Creator Content, and your interactions with Accesse, Brands, and other Marketplace users, you will conduct yourself in a professional and respectful manner and will not engage in any conduct that does, or is reasonably likely to, bring you, Accesse, any Brand, or the Marketplace into public disrepute, contempt, scandal, or ridicule or otherwise damage the reputation or goodwill of Accesse or any Brand. Without limiting the foregoing, you shall not publish or distribute any content or engage in any conduct that violates the rights of any third party or that is unlawful, fraudulent, deceptive, threatening, abusive, harassing, defamatory, obscene, hateful, discriminatory, or otherwise objectionable. You shall not make any statements or representations on behalf of Accesse or any Brand, or otherwise suggest that you are authorized to speak for Accesse or any Brand, except as expressly authorized in writing by the applicable party. Any inquiries regarding Accesse, a Brand, or any Product should be directed to the applicable party.
  10. DISPUTES BETWEEN USERS.
    1. Transaction Disputes. Accesse is not a party to any transaction or other arrangement between you and any Brand, notwithstanding that such transaction or arrangement is facilitated through the Marketplace. You acknowledge and agree that Accesse has no obligation to monitor, investigate, mediate, or resolve any dispute arising out of or relating to any Product, Product listing, purchase, payment, shipment, delivery, return, refund, exchange, warranty claim, the creation, quality, timing, or use of any Creator Content, or any other obligation or performance of you or any Brand in connection with a Marketplace transaction. You agree to work in good faith with the applicable Brand to resolve any such dispute promptly and reasonably. If you are unable to resolve a dispute directly, you should pursue such remedies as may be available to you under applicable law or through an independent dispute resolution process. Accesse shall have no liability or responsibility with respect to any such dispute or its resolution.
    2. Release of Accesse. IN THE EVENT THAT YOU HAVE A DISPUTE WITH ONE OR MORE OTHER USERS OF THE MARKETPLACE (INCLUDING, WITHOUT LIMITATION, ANY DISPUTE WITH A BRAND RELATING TO ANY PRODUCT, CREATOR CONTENT, OR ANY OTHER TRANSACTION OR ARRANGEMENT FACILITATED THROUGH THE MARKETPLACE), YOU HEREBY AGREE TO RELEASE AND FOREVER DISCHARGE ACCESSE AND ITS AFFILIATES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, ASSIGNS, AND OTHER RELATED PERSONS AND ENTITIES, FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, PROCEEDINGS, DAMAGES, LOSSES, LIABILITIES, OBLIGATIONS, COSTS, EXPENSES, AND ATTORNEYS’ FEES OF EVERY KIND AND NATURE, WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH SUCH DISPUTE OR YOUR USE OF THE MARKETPLACE. If you are a California resident, please refer to Section 26(b) regarding your waiver of California Civil Code Section 1542.
    3. Violations of the Terms. Notwithstanding the foregoing or anything herein to the contrary, Accesse reserves the right to terminate your access or the access of any other user to the Marketplace should Accesse determine, in its reasonable discretion, that you or such user have violated these Terms in any manner. If you believe that another user of the Marketplace has violated these Terms, please contact Accesse at team@accesse.co.
  11. DIRECT BRAND RELATIONSHIPS. The Marketplace is designed to help Content Creators discover Brands and foster long-term commercial relationships. If, through your use of the Marketplace, you identify a Brand with which you wish to engage directly outside of the Marketplace, Accesse welcomes the opportunity to facilitate that transition.
  12. MARKETPLACE CONTENT.
    1. Your User Content. The Marketplace may permit you to upload, input, publish, distribute, transmit, display, or post content and materials to or in connection with the Marketplace, including, without limitation, where you submit Creator Content in connection with a purchased Product. As between you and Accesse, you are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all information, data, materials, trademarks, tradenames, images, logos, text, writings, video, audio, graphics, comments, suggestions, personal information and other content that you upload, input, publish, distribute, transmit, display, or post to or in connection with the Marketplace (“User Content”). Without limiting the generality of the foregoing, you shall not upload, input, publish, distribute, transmit, display, or post any User Content or other information, materials or content that (i) infringes the intellectual property rights, rights of privacy or publicity, or other proprietary rights of any third party, (ii) is inaccurate, incomplete, or incorrect, (iii) violates any applicable law (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination, or false advertising), (iv) is, or is likely to be considered, defamatory, libelous, hateful, racially, ethnically, religiously, or otherwise biased or offensive, threatening or harassing, vulgar, sexually explicit, pornographic, obscene, invasive of another’s privacy, or harmful to minors, (v) contains any information that you consider confidential, proprietary, or personal, (vi) contains or constitutes any unsolicited or unauthorized advertising, promotional material, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation, or (vii) contains any malware, viruses, Trojan horses, spyware, worms, or other malicious or harmful code. Additionally, when you submit User Content through the Marketplace, you agree and represent that you own that User Content, or you have received all necessary permissions, authorizations, licenses, and consents necessary to upload, input, publish, distribute, transmit, display, or post the User Content to the Marketplace, including, without limitation, all necessary consents from any individuals that might be shown (audially or visually) in such User Content.
    2. License to User Content. You hereby grant to Accesse an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute your User Content for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such User Content. You waive all moral rights in your User Content, and you warrant that moral rights have not otherwise been asserted in your User Content. Additionally, you represent and warrant to Accesse that you have all rights necessary to grant the rights and licenses granted to Accesse under these Terms.
    3. Accesse Obligations. You acknowledge and agree that Accesse does not, nor is it obligated to, monitor or police any communications or data, information, materials, or content posted to or transmitted in connection with transactions facilitated by the Marketplace, and Accesse will not be responsible for such data, information, materials, or content. Notwithstanding the foregoing, however, Accesse may, at its option and in its sole discretion, monitor and review or remove or delete from the Marketplace or Site any data, information, materials, or content that Accesse determines, in its discretion, violates these Terms.
  13. PROHIBITED ACTIVITIES. You agree to access and use the Site and the Marketplace solely for your use in accordance with all applicable law. You shall not, and shall not attempt to: (i) copy, reproduce, frame, mirror, modify, decompile, disassemble, create derivative works based on, or reverse engineer the Site or the Marketplace or any associated software or materials (except to the extent that applicable law prohibits or restricts reverse engineering restrictions); (ii) copy, modify, create derivative works of, retransmit, sell, license, exploit, reuse, repost, broadcast, or otherwise distribute any content made available to you through the Site or the Marketplace; (iii) provide any third parties with access to any of the Marketplace, or use any of the Site or the Marketplace for time sharing or similar purposes for the benefit of any third party; (iv) sell, resell, rent or lease the Marketplace or any content available thereon or therethrough; (v) remove any copyright or proprietary notices contained in the Site or in the Marketplace; (vi) breach, disable or tamper with, or develop or use (or attempt) any workaround for, any security measure provided or used by the Site or the Marketplace; (vii) scrape or access the Site or the Marketplace via a bot, web crawler or non-human user; (viii) access or use (or permit a third party to access or use) the Site or the Marketplace for any unlawful purpose or for purposes of monitoring the availability, performance or functionality of the Site or the Marketplace or for any other benchmarking or competitive purposes; (ix) misrepresent your identity; (x) stalk or harass any other user of the Marketplace; (xi) attempt to gain unauthorized access to the Site or the Marketplace or any related systems, software or networks; (xii) access the Site or the Marketplace in order to build a competitive product or service, or copy any features, functions or graphics of the Site or the Marketplace; (xiii) use the Site or the Marketplace to transmit viruses or malicious code; (xiv) deceive or defraud any individual or entity, including any other user of the Marketplace and including, without limitation, with respect to any Creator Content; or (xv) make any use of, or take any other action with respect to, the Creator Content, the Site, the Marketplace or any component thereof in a manner that violates applicable law or any provision of these Terms.
  14. AI TOOLS. The Marketplace may include access to certain artificial intelligence-powered features (“AI Features”). The AI Features generate outputs based on your prompts, inputs, and other information you provide, together with the functionality of the underlying AI models. You acknowledge that AI-generated outputs may be inaccurate, incomplete, biased, or otherwise unsuitable for your intended use. Accesse does not review, verify, endorse, or monitor AI-generated outputs and makes no representation or warranty that any output is accurate, reliable, original, non-infringing, or protectable or owned under applicable intellectual property laws, or that any AI Feature has been trained using appropriate or non-infringing data. You are solely responsible for reviewing and evaluating all AI-generated outputs before using or relying on them and for ensuring that your use of the AI Features and any resulting outputs comply with applicable law and does not infringe the rights of any third party. Accesse shall have no liability arising out of or relating to any AI Feature or any output generated thereby or your use or reliance thereon.
  15. TERM AND TERMINATION. These Terms shall remain in full force and effect while you use or have access to the Marketplace. Accesse may terminate or restrict your access to any or all of the Marketplace or to your User Account for any reason, including, without limitation, if Accesse determines that you have violated any provision of these Terms. Any termination of these Terms is without prejudice to any rights or obligations of the parties accrued up to and including the date of termination. Upon termination of these Terms, you will remain liable for any accrued charges and amounts due from you as of the date of such termination, if any, and shall immediately cease to use the Marketplace.
  16. PRIVACY. You acknowledge and agree that information collected by Accesse is subject to our Privacy Policy. By accessing or using the Site or the Marketplace, you consent to all actions we take with respect to your information in compliance with our Privacy Policy.
  17. INTELLECTUAL PROPERTY
    1. Accesse Intellectual Property. As between you and Accesse, the Site and the Marketplace, and all software and other technologies embodied in or used to provide the foregoing, and all intellectual property rights therein or relating thereto, are and shall remain the exclusive property of Accesse. No rights are granted to you other than as expressly set forth herein.
    2. Your Content. As between you, Accesse, and the Brands, but subject to the rights and licenses granted by you hereunder (including, without limitation, those set forth in Sections 8(a), 8(b), 12(b), and 17(d)), you shall own all right, title and interest in and to your Creator Content and your User Content.
    3. Feedback. To the extent you provide Accesse with any suggestions, feature requests, evaluation results, feedback, or other input in relation to any aspect of the Site or the Marketplace (collectively, “Feedback”), you hereby assign and agree to assign to Accesse all right, title and interest in and to such Feedback, including any intellectual property rights therein, and agree that Accesse will be free to use such Feedback in any manner, including by implementing such Feedback in the Site, the Marketplace, and/or Accesse’s other technologies, products and services, without compensation or other obligation to you.
    4. Data Use. Without limiting any of Accesse’s other rights hereunder, Accesse shall have the right to collect, examine, extract, model, manipulate, aggregate, collate, analyze, create analysis using, reproduce and otherwise use, on a de-identified basis, any information, including, without limitation, usage information, that Accesse learns, acquires or obtains in connection with these Terms, within the scope of its regular business operations, including, without limitation, (i) developing, operating, and ensuring the integrity of data sets, algorithms or other analytical tools, (ii) testing, implementing, benchmarking, integrating, developing, optimizing or improving Accesse software and other products and services, and (iii) marketing, distributing, or otherwise making Accesse products and services available to its customers.
  18. THIRD PARTY APPLICATIONS. The Site and/or the Marketplace may contain links to or otherwise utilize or allow you to access third party applications and services, including, without limitation, Payment Processors (“Third Party Services”) that are not owned or controlled by Accesse. When you access third party websites or Third Party Services, you do so at your own risk. Accesse encourages you to be aware when you leave the Site and the Marketplace and to read the terms and conditions and privacy policy of each third-party website or Third Party Service (“Third Party Terms”) that you visit or from which you access any product or service. Accesse has no control over, and assumes no responsibility for, the content, accuracy, Third Party Terms, or practices of any third-party website or Third Party Service. In addition, Accesse will not and cannot monitor, verify, censor, or edit the content of any third-party website or Third Party Service. When you visit or use a third party’s website or Third Party Service, you acknowledge that such website or Third Party Service is subject to the applicable Third Party Terms, and you release us from any liability arising from your use of such websites or Third Party Service. You acknowledge that we are not responsible for such third parties or their products or services. Any such activities, and any Third Party Terms associated with such activities, are solely between you and the applicable third party.
  19. DISCLAIMER OF WARRANTIES.

    THE SITE, THE MARKETPLACE, ALL PRODUCTS, PRODUCT LISTINGS, CREATOR CONTENT, AND ALL OTHER INFORMATION AND MATERIALS MADE AVAILABLE THROUGH THE MARKETPLACE ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND. ACCESSE HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUALITY. NEITHER ACCESSE NOR ANY PERSON ASSOCIATED WITH ACCESSE MAKES ANY REPRESENTATION OR WARRANTY REGARDING THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, AVAILABILITY, OR OPERATION OF THE SITE OR THE MARKETPLACE, OR THAT THE SITE OR THE MARKETPLACE WILL BE ERROR-FREE, UNINTERRUPTED, FREE OF HARMFUL COMPONENTS, OR OTHERWISE MEET YOUR REQUIREMENTS OR EXPECTATIONS.

    ACCESSE MAKES NO REPRESENTATION OR WARRANTY REGARDING ANY PRODUCT, PRODUCT LISTING, CREATOR CONTENT, OR OTHER INFORMATION MADE AVAILABLE THROUGH THE MARKETPLACE. WITHOUT LIMITING THE FOREGOING, ACCESSE DOES NOT REPRESENT OR WARRANT THE QUALITY, SAFETY, AUTHENTICITY, LEGALITY, ACCURACY, AVAILABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE OF ANY PRODUCT OR CREATOR CONTENT, OR THAT ANY PRODUCT, CREATOR CONTENT, OR YOUR USE OF THE MARKETPLACE WILL ACHIEVE ANY PARTICULAR RESULT. ACCESSE DOES NOT VERIFY, ENDORSE, OR APPROVE ANY PRODUCT, BRAND, PRODUCT LISTING, CREATOR CONTENT, OR ANY REPRESENTATION MADE BY ANY MARKETPLACE USER.

    ACCESSE SHALL HAVE NO RESPONSIBILITY OR LIABILITY FOR ANY PRODUCT OFFERED OR SOLD THROUGH THE MARKETPLACE, ANY CREATOR CONTENT CREATED, SUBMITTED, OR USED THROUGH THE MARKETPLACE, THE ACTS OR OMISSIONS OF ANY BRAND, CONTENT CREATOR, OR OTHER MARKETPLACE USER, OR ANY THIRD-PARTY SERVICES OR PROVIDERS. AS BETWEEN YOU AND ACCESSE, YOU ASSUME ALL RISKS ARISING FROM YOUR USE OF THE MARKETPLACE, YOUR PURCHASE OR USE OF ANY PRODUCT, YOUR CREATION, SUBMISSION, OR USE OF ANY CREATOR CONTENT, AND YOUR INTERACTIONS WITH BRANDS AND OTHER MARKETPLACE USERS.

    YOU UNDERSTAND AND ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF THE MARKETPLACE AND ALL DECISIONS MADE IN CONNECTION THEREWITH. ACCESSE MAKES NO REPRESENTATION OR WARRANTY THAT ANY BRAND WILL ACCEPT YOUR CREATOR CONTENT, OFFER YOU ADDITIONAL PRODUCTS OR OPPORTUNITIES, OR THAT YOUR USE OF THE MARKETPLACE WILL RESULT IN ANY PRODUCTS, CONTENT OPPORTUNITIES, COMPENSATION, AFFILIATE REVENUE, FOLLOWERS, ENGAGEMENT, EXPOSURE, OR OTHER COMMERCIAL OR PERSONAL BENEFIT.

  20. INDEMNITY. You agree to indemnify, defend, and hold harmless Accesse and its affiliates, and each of their respective officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms or your access to or use of the Site or the Marketplace in any manner not authorized by these Terms; (b) any Creator Content created, submitted, published, distributed, licensed, or otherwise made available by you through or in connection with the Marketplace; (c) any representations, warranties, statements, endorsements, testimonials, or other content made or provided by you regarding any Brand or Product; (d) any claim that your Creator Content or any other content, materials, trademarks, photographs, videos, music, or other materials provided or used by you infringes, misappropriates, or otherwise violates the intellectual property, privacy, publicity, or other rights of any third party or violates applicable law; (e) your purchase or use of any Product or your interactions or transactions with any Brand or other Marketplace user; (f) your negligence, fraud, or willful misconduct; or (g) any act or omission of any person accessing the Marketplace through your User Account. Accesse reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with Accesse in the defense of such matter.
  21. LIMITATION OF LIABILITY.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ACCESSE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SITE OR THE MARKETPLACE, INCLUDING, BUT NOT LIMITED TO, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF USE, LOSS OF DATA, DAMAGE TO OR LOSS OF PROPERTY, OR PERSONAL INJURY OR DEATH, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

    IF, NOTWITHSTANDING THE PROVISIONS OF THIS SECTION, ACCESSE IS FOUND LIABLE FOR ANY LOSS OR DAMAGE UNDER ANY LEGAL THEORY RELATING IN ANY WAY TO THE SUBJECT MATTER OF THESE TERMS, IN NO EVENT WILL ACCESSE’S AGGREGATE LIABILITY TO YOU OR ANY THIRD PARTY EXCEED THE SUM OF ONE HUNDRED DOLLARS ($100 USD). IF YOU ARE NOT SATISFIED WITH THE SITE OR THE MARKETPLACE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO CEASE ALL ACCESS TO AND USE OF THE SITE AND THE MARKETPLACE.

    Some jurisdictions do not allow the limitation of liability for incidental or consequential damages or other damages or liability, so the foregoing limitations may not apply to you. To the extent that in a particular circumstance any limitation on damages or liability set forth in this Section is prohibited by applicable law, then, instead of the provisions hereof in such particular circumstance, Accesse shall be entitled to the maximum limitations on damages and liability available at law and equity in that particular circumstance.

    You and Accesse understand and agree that the disclaimers, exclusions, and limitations in this Section 21 and in Section 19 are essential elements of these Terms and that they represent a reasonable allocation of risk. In particular, you understand that Accesse would be unable to make the Site or the Marketplace available to you except on these terms and agree that these Terms will survive and apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.

  22. DIGITAL MILLENNIUM COPYRIGHT ACT

    Accesse is committed to respecting and protecting the legal rights of copyright owners in accordance with the Digital Millennium Copyright Act (Section 512(c)(3) of the DMCA (17 U.S.C. § 512 et seq.)). If you believe any content infringes your intellectual property rights, please submit a notice to us describing such infringement (a “DMCA Takedown Notice”) with the following information:

    • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
    • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works;
    • Identification of the material claimed to be infringing or to be the subject of infringing activity and that is to be removed or access disabled and information reasonably sufficient to permit the Marketplace provider to locate the material;
    • Information reasonably sufficient to permit the Marketplace provider to contact you, such as an address, telephone number, and, if available, email address;
    • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
    • A statement that, under penalty of perjury, the information in the notification is accurate and you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.

    Any DMCA Takedown Notice should be sent to: team@accesse.co. You acknowledge that for Accesse to be authorized to takedown any content, your DMCA Takedown Notice must comply with all of the requirements of this Section.

  23. SERVICE SUPPORT. If you encounter technical problems when using the Marketplace, please email us at team@accesse.co.
  24. OPERATION FROM THE UNITED STATES. The Marketplace is hosted by servers that may be located in the United States. Using the Marketplace may be prohibited or restricted in certain other countries. If you use the Site or the Marketplace from outside of the United States, you are responsible for complying with the laws and regulations of the applicable territory. Without limiting the foregoing, if you attempt to use the Site or the Marketplace from a physical location in the European Union, United Kingdom, Asia, or any other region with laws or regulations governing personal data collection, use, and disclosure that differ from United States laws, please be advised that through your continued use of the Site or the Marketplace, which is governed by U.S. law and these Terms (including the Privacy Policy): (i) you are transferring your personal information to the United States; (ii) you hereby consent to such transfer and to the application of the laws of the United States and the State of California with respect to any dispute arising from or related to the Privacy Policy and your use of the Site or the Marketplace, and to the exclusive jurisdiction of the courts of the United States and the State of California.
  25. DISPUTE RESOLUTION.

    Please read this Section carefully. It impacts the rights that you may otherwise have. It provides for resolution of most disputes through individual arbitration instead of trial courts and class actions. This “Dispute Resolution” section survives any expiration or earlier termination of these Terms.

    Informal Dispute Resolution. As a condition precedent which must be satisfied prior to initiating any arbitration or other action against the other party, both you and Accesse agree to the following dispute resolution procedure: In the event of any controversy, claim, action or dispute arising out of or related to the Site or the Marketplace, or the breach, enforcement, interpretation, or validity of these Terms (“Claim”), the party asserting the Claim must first try in good faith to settle such Claim by providing written notice, by first class or registered mail, to the other party describing the facts and circumstances (including any supporting documentation) of the Claim. The party asserting the Claim must allow the receiving party 30 days in which to respond to or settle the Claim.

    For purposes of this Section, notices must be sent as follows:

    • If to Accesse: to Accesse LLC, Attn: Legal/Compliance, 2374 Arlington Ct, Castro Valley, CA 94578, with a copy emailed to team@accesse.co.
    • If to you: to any address listed in or associated with your User Account or that you otherwise submit to us through your use of the Marketplace.

    Arbitration. To the extent you cannot resolve any Claim through the informal dispute resolution procedure set forth above, and except as otherwise set forth herein, a Claim must be resolved through binding individual arbitration. You agree to give up your right to go to court to assert or defend your rights under these Terms and with respect to any Claim. You and Accesse each expressly delegate to the arbitrator the authority to determine the arbitrability of any Claim, including the scope, applicability, validity, and enforceability of this arbitration provision.

    To begin an arbitration proceeding, you must send a written request to Accesse at: Accesse LLC, Attn: Legal/Compliance, 2374 Arlington Ct, Castro Valley, CA 94578, with a copy emailed to team@accesse.co. You agree that the arbitration will be conducted by the American Arbitration Association (“AAA”) pursuant to its Consumer Arbitration Rules (“AAA Rules”), as modified by this Arbitration Agreement. The AAA Rules are available on the AAA’s website www.adr.org, or by calling the AAA at (800) 778-7879. In accordance with the AAA Rules, you must also send a copy of your written demand for arbitration to AAA when submitting your request to Accesse. In the event that the AAA is unable or unwilling to initiate arbitration within fourteen (14) days of receiving a demand for arbitration, arbitration may be conducted by JAMS, Inc. (in accordance with its Streamlined Arbitration Rules & Procedures) or by any other mutually agreeable arbitration administration service. You and Accesse each agree that these Terms evidence a transaction in interstate commerce and that this arbitration provision will be interpreted and enforced in accordance with the U.S. Federal Arbitration Act and federal arbitration law and will not be governed by state law. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location. The arbitration will be conducted in the English language. An arbitrator may award on an individual basis any relief that would be available in a court, including injunctive or declaratory relief to the extent required to satisfy your individual claim, and must follow and enforce these Terms as a court would. Any arbitration shall be confidential, and neither you nor Accesse may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcement of the arbitration award. Judgment on any arbitration award may be entered in any court having proper jurisdiction.

    In lieu of arbitration, and notwithstanding anything in this section to the contrary, either you or Accesse may bring any individual claim in small claims court consistent with the jurisdictional and dollar limits that may apply, but only if it is brought and maintained as an individual claim. Additionally, and notwithstanding anything herein to the contrary, nothing in this section shall prohibit you or Accesse from seeking temporary injunctive relief in a court of competent jurisdiction to prevent an imminent or stop an actual breach of these Terms.

    Class Action and Jury Waiver. You and Accesse each agree that any proceeding, whether in arbitration or in court, will be conducted only on an individual basis and not in a class, consolidated or representative action. If a court or arbitrator determines in an action between you and Accesse that this class action waiver is unenforceable, the arbitration agreement set forth above will be void as to you. If for any reason a Claim proceeds in court rather than through arbitration, you and we each waive any right to a jury trial.

  26. MISCELLANEOUS
    1. Marketplace Availability. You agree and acknowledge that the Site and/or the Marketplace may be temporarily unavailable due to maintenance or other development activities. Accesse will use commercially reasonable efforts to provide you with advance notice of any such unavailability, but shall not have any liability to you for any planned or unplanned unavailability or downtime.
    2. Releases by California Residents. If you are a California resident, then with respect to any release or waiver set forth in these Terms, you hereby waive California Civil Code Section 1542, which states, “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
    3. Assignment. You may not assign or transfer these Terms or any of your rights or obligations hereunder to any other person without Accesse’s prior written consent. Any purported assignment in violation of this paragraph is void and of no effect. These Terms are freely assignable by Accesse. These Terms shall be binding on the parties and their permitted successors and assigns. Except as otherwise set forth herein, a person who is not a party to these Terms has no right to benefit under or to enforce any term of these Terms.
    4. Force Majeure. We will not be liable for any delay or failure in the performance of our obligations under these Terms if the delay or failure is due to any cause outside of our reasonable control.
    5. Notices. Except as otherwise set forth herein, any notice given under these Terms by any party to another party must be in writing and sent by email, and will be deemed to have been given upon transmission. Notices to Accesse must be sent to team@accesse.co. Notices to you will be sent to any email address associated with your User Account or that you otherwise submit to us through your use of the Marketplace. For contractual purposes, you consent to receive communications from us in electronic form, and you agree that all terms and conditions, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
    6. California Residents. If you are a California resident, you may report a complaint to the Complaint Assistance Unit of the Division of Consumer Services at the California Department of Consumer Affairs by telephone at (800) 952-5210 or by mail at 400 R Street, Sacramento, CA 95814, United States.
    7. Severability and Waiver. If any part or provision of these Terms is held by a court of competent jurisdiction to be invalid, unenforceable, or in conflict with the law, that part or provision shall be replaced with a provision which, as far as possible, accomplishes the original purpose of that part or provision, and the remainder of these Terms will continue in full force and effect. Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If we waive any breach of these Terms, such waiver will not constitute a waiver of any other breach. No waiver will be effective unless made in writing.
    8. Entire Agreement. These Terms, together with the Privacy Policy, constitute the sole and entire agreement between you and Accesse with respect to the subject matter hereof, and supersede and extinguish all prior agreements, representations (whether oral or written), and understandings regarding such subject matter. The provisions of the following Sections of these Terms will survive any termination of this Agreement: Section 3; Section 5 (with respect to the final sentence); Sections 6 through 14; Sections 16 through 22; and Sections 24 through 26.
